PURPOSE AND SCOPE

This Agreement (“Agreement”) is entered into by and between the Arise Ghana Youth Foundation (AGY) and the Applicant (“You” or “Your”), in relation to your request for financial support under AGY’s Business Funding Initiative. By applying for business funds through AGY, you agree to the terms and conditions outlined below, which govern your use of the AGY platform and your eligibility for financial proposal development and partner funding consideration.

This Agreement must be accepted electronically via e-signature or consent button before access to the next step in the funding process.

Objective of the Program

AGY works in partnership with banks, impact investors, and grant-giving institutions to support entrepreneurs and business owners with funding and growth opportunities. The purpose of this Agreement is to:

• Ensure mutual understanding of expectations and obligations.
• Protect AGY and its partners from fraud or misuse of funds.
• Prepare the applicant for responsible stewardship of public and private capital.

Scope of Support

Upon acceptance, AGY may develop and submit proposals to institutional partners on your behalf. Any financial support is subject to approval by those institutions, and AGY makes no guarantee of funding.

 

TERMS AND RESPONSIBILITIES

Applicant Responsibilities

By signing this Agreement, you certify that:

• All business and financial information submitted is true, accurate, and complete.
• You have lawful authority to apply for funding on behalf of the business.
• You agree to cooperate during all stages of the proposal development, including submitting additional documents or clarification if needed.

You further agree to:

• Pay employees/staff fairly, at least the national minimum wage or a pre-agreed rate depending on funding scale.
• Provide basic employee benefits, including access to health insurance and safe working conditions, within the scope of the funding proposal and agreement with partners.
• Use any funds received strictly for the purposes stated in your application.
• Maintain accurate financial records and make them available upon request for monitoring, evaluation, or audit purposes.

AGY Rights and Disclaimers

• AGY reserves the right to verify all claims, documents, and ownership structures.
• AGY may terminate your application or funding opportunity if false information or misuse of funds is discovered.
• AGY does not act as a lender, investor, or grant agency but as a facilitator and intermediary.
• Decisions made by funding partners (banks, investors, grant agencies) are final and beyond AGY’s control.

 

Intellectual Property and Patent Disclaimer

By applying for funding through AGY, you acknowledge and agree that the Arise Ghana Youth Foundation (AGY) bears no responsibility for securing or protecting any intellectual property rights related to your business, product, invention, or service. It is solely your responsibility to take appropriate legal steps to protect any proprietary information, including trademarks, copyrights, trade secrets, and patents, before disclosing such information as part of your application or proposal. AGY, its affiliates, and funding partners shall not be held liable for any loss, theft, or infringement of intellectual property resulting from participation in the funding process. While AGY treats all application materials as confidential and shares them only with vetted partners, it does not guarantee intellectual property protection. Applicants are advised to seek independent legal counsel to safeguard their innovations and intellectual assets before engaging in any funding discussions.

Repayment, Default, and Recovery

If your business receives loan-based support, you agree to:

• Adhere to all repayment timelines and terms as defined by the funding partner.
• Cooperate in any repayment plan discussions and not willfully default.
• Accept that failure to comply may result in legal action or disqualification from future AGY programs.

If funding is through grants, you agree to:

• Submit impact reports and proof of fund use when requested.
• Cooperate with AGY and its partners during any program evaluation.

 

 CONSENT, PRIVACY, AND DIGITAL ACCEPTANCE

Confidentiality and Data Use

• AGY will treat all submitted information as confidential and only share it with relevant institutional partners for funding consideration.
• Your data may be stored for reporting and monitoring purposes.

Legal Agreement and Consent

By clicking “I Agree”:

• You affirm that you have read and understood the terms of this Agreement.
• You consent to electronically sign and be legally bound by this Agreement.
• You authorize AGY to use your business profile and documentation to develop a funding proposal and present it to selected financial institutions, investors, and donors.
• You acknowledge that these Terms and Conditions may be updated periodically, and by accepting them each time, you agree to be bound by the most current version.
